If their intent to simply sell shares, they don’t need a RS. They can double the AS

The intent of the R/S is to convince current shareholders they are trying to attract new investors, and have a "plan to uplist" even tho it's obvious that they will NEVER UPLIST.

As mentioned countless times, the R/S will allow them to continue enriching themselves and Monaco at the expense of shareholders, while PPS proceeds to lose another 95% on top of the 95% it's lost over the past 18 months.
