#635198 RE: Tradeinman #635193

COOP is the registrant because the aquired sub (formerly Nationstar) is doing the main business. This sub (Nationstar Mortgage LLC, d/b/a Mr. Cooper) does the whole mortgage servicing business, but the parent Mr. Cooper Group, Inc. (COOP) registered the shares. We are shareholders of COOP, not the sub, hence COOP is the registrant. A holding company.

Before Nationstar was acquired by WMIH, Nationstar registered its shares directly (NSM), so Nationstar was the registrant.

I thought that also.
But someone here schooled me on the fact that they wouldn’t have to disclose it.
That and the fact that they are being given special allowances by the SEC to keep certain assets off of the balance sheet and out of filings.

Hence “COOP is the “registrant””.

Why would they have to make sure that that is a statement in all of there filings. “COOP is the registrant”. Wouldn’t it be assumed that the ticker symbols the registrant? Why the notation all of the time?
