a reverse merger is when one well-capitalized company wholly assumes a shell, 100%... not just 88.9% The shell corporation transfers ownership to the new company.

This was an asset exchange: FPVD got BIGtoken in exchange for 88.9% of FPVD. Question is: WHY?
