I dont believe the Corporate governance requirements are that different from the OTC requirements. Sure they might have some additional criteria but its something they were doing a few years before.

I also believe that the uplist maybe required from Merck or other partners since they cannot be seen cavorting with OTC companies. So all the more likely.
