This will undoubtedly be a NEGOTIATED DEAL of issued Treasury Shares at an advantageous pre-determined price.

Because THAT'S HOW YOU GET INVESTORS.

Those additional shares will be dilutive, but not necessarily "TOXIC".

But as you say, until we see the filings we really won't know the details.
