... there’s no way for me to know if KKR owns any original designations of the “oldco” (“Tracking Markers”)
but what I can track is their (KKR) involvement and investment in the “newco” after the reorganization ...
In my opinion, KKR always knew that reorganized WMI, “newco” would need to dilute itself and need Cash’ in order to secure an acquisition of a ABS-Cert servicer ... it did’ ... to the tune of about 40%, bringing the outstanding share count to be just about 1 billion shares ... then, after the company’s dilution, the “B” Conversion, and the12/1 reverse split, KKR has put itself into a pari-pasu position equal to an original releasing participant in Plan 7 ...
... Again, in my opinion, the returns, “oldco” and “newco”, are a separate consideration ... however, as in all investments, the more you own, the better the financial result ...
