You’re not looking at the transaction code which describes HOW the shares were acquired. That is Box 3...not Box 4.

https://www.sec.gov/about/forms/form4data.pdf

Item 8. provides a description of the transaction codes. “P” is an “open market buy”. “A” is an award, grant or other Section 16 purchase (which covers acquisitions from the company).

Such a basic thing to understand.

They are just hoping to distract people away from verbs growth. Can’t wait until the financials are released. This will rise to $2 once those come out and people see that we are finally starting to make money

You don't seem to understand the transaction codes on the Form 4.

In this case the transaction code was A - and that doesn't mean acquired - you are correct about OTCM investors not understanding securities law.

But that is hilarious - thinking the Transaction Code being A means acquired.

Let me provide some edification about the transaction codes.

You posted: "A=acquired=open market."

General transaction codes

P – Open market or private purchase of securities

S – Open market or private sale of securities

V – Transaction voluntarily reported earlier than required

Then we have the following:

Rule 16b-3 transaction codes

A – Grant, award, or other acquisition

D – Sale (or disposition) back to the issuer of the securities

F – Payment of exercise price or tax liability by delivering or withholding securities

As you can see - the Form 4 filed has the Transaction Code - A which means it was Granted, Awarded or other acquisition (but not a open market or private placement).

SMH!
