The Hedge funds/Investors doing the PIPE financing can only invest in companies that have audited financials and are on a higher market, most likely at least a QX, possibly QB, but I kind of doubt the QB

If they sean is going to become empm then they dont need to buy seam but buy empm which is much cheaper

Yes correct they cannot get the number of shares or dollar amount. I was answering the question why would they pay $3 if they could buy shares of EMPM now at .13
