Is it a requirement for any investment made by an institutional investor to be reported to the SEC?

Also, is there a requirement by the SEC to make such information known to the public?

I'm a total newb at these things, so I'm learning as I go.

Is it realistic or possible for them to have some twisted under the table agreement where they agree to invest if FLES tanks the price to a certain level so they can load up at the bottom and make their risk virtually zero. FLES gets the financing and the investor gets an easy pay day once FLES stops burying the share price?

I’m still trying to put the pieces together on this miserable puzzle but nothing ever adds up lol
