issued & actually cleared for free trading are 2 totally different things now a days under the new clearing landscape.

That is rare...and when it does happen it is usually via some level of fraud.

Unless the shares are registered when issued there is no way around 144...legally.

There are very few exemptions from registration that would allow unregistered stock to be immediately free trading.
