13D Form is a statement of beneficial ownership in excess of 5% of a company's outstanding shares and is required within 10 days of that transaction (that puts the person at 5% or better).
There are no restrictions to selling the shares until you reach 10% and then you trigger Section 16 and there are restrictions on selling the shares...you don't want to go there.
It might be well to note that today the O/S is over 7 bn so one could own up to 350mil shares before triggering the 5% rule. Should the company retire the 3.2 bn shares from the Hibachi deal, that number would adjust as well.
