While my post was intended to only address the debt payoff issue,

2.3 (b) Payments at Closing . At the Closing, the Estimated Buyer Closing Debt shall be paid by the Company, at its discretion, on behalf of Buyer at the Closing to the applicable payees pursuant to and in accordance with the Pay-Off Documents and Schedule 2.3 to this Agreement; and

If you go buy definitions given, than it says

2.3 (b) Payments at Closing . At the Closing, the Estimated SGSI Closing Debt shall be paid by the SGSI, at its discretion, on behalf of SGSI

Unless they are referring to Wavetech hands SGSI at the closing which in turn SGSI pays turns and pays off it's debt
