- no verified testing results of the technology

- no history of sales

- no verified battery partners

- ICLD and past ICLD management involvement

- no links to current patents

- number of free shares given to officers and employees of company

- no planned offered how AW Solution, Adex Corp, TNS Inc and Wavetech will be synergistic in building 5G infrastructure

- no reason given why ICLD announced merger was terminated

- no information given on current relationship of ICLD and Wavetrch

- questions remain on the real relationship between ICLD, SGSI and Wavetech.

- no indication how SGSI convertible debt will be eliminated

- two years no organic growth of AW Solutions (which publicly was originally the company Spectrum were developing)

- over paid management

- top heavy management
