Lenivec, my wife and I have been in Anavex since 2009/10 swayed by the arguments of with Patrick Cox (Agora Financial) and each year that faith and trust grow stronger. So, your .25 while impressive to some is so-so to us. Additionally, if you have been in since those days, you MUST have some confidence in Dr. Missling.

Here, IMO, is the deal with the preferred stock (PS) and its endless possibilities of its purpose:

1) A partner(s) who will handle the manufacturing & distribution of the product, likely on a worldwide basis – I’m not in favor nor think it is likely to happen as these companies will get its profit share in those activities. Once the first one believes in Anavex’s value, it might try a buy-out at a low price instead.

2) If that last thought in 1) were likely to happen, the PS could be used for a white knight, likely a BP, or issue shares to current shareholders to strengthen the shareholders’ rights of Anavex. IMO, this is more likely than 1) but still not the intended use of PS.

3) The PS could be used for selfish reasons by the Company executives, BOD and SAB as some non-fans of TGD like to bring to our attention. But that would be a different side of this group, a contradiction in their character, which hasn’t been shown in the slightest and I doubt that this group would change stripes, so to speak.

4) The PD is intended for an investor who wants to arrest the advance of Alzheimer’s Disease, Parkinson’s and other CNS disease … an angel investor who has purely altruistic reasons for helping mankind. This might range from a single investor or a combo of two or more … Gates to Buffett to Ellison to the Walton heirs to who knows … This is the most likely possibility for me as Dr. Missling has conducted himself and those with whom he hires/engages that the value aspect of the Anavex pipeline is NOT primarily about wealth, but in securing a future for the advancement of remedies for some of the worst hideous human conditions. Such funds would provide Anavex with the financial independence to seek the most efficient methods to bring its pipeline to the market.

Lenivec, we are two years behind where we could be because we did not get enough votes for the plan’s passage. Each of us should be ashamed of ourselves for causing the delays Anavex has experienced in these past two years. TGD had/has a plan to bring possibility the best hope to counter these diseases and we need to support him and Anavex with a big “YES” to that proposal.

Decent post and can understand the tug of war that is going on in your mind. 25 cents cost is impressive.

Met with my bother and another friend yesterday to discuss the matter. We have almost 750K AVXL shares combined and have decided to vote YES for the extra 10 Million shares.

Frankly do not know if we are making the right choice, but sincerely feel that for once, we need to give the company a chance to be ready for big things to come.

Time will tell.

The preferreds, if approved, would likely not be issued in the short term and possibly never.

Using the remainder of the LPC and then Cantor facility to raise up to another $60M or so, should be sufficient for getting us to AD P2/3 readout.

I think the mostly likely use of the preferreds would be:
1) for a commercial partner for large indications (PDD and/or) AD in certain territories. They would be issued with no voting rights to keep the control with Anavex.
2) In general to bolster defence against takeover attempts.

All this matters only if we get positive results in PDD. If so I think it is fair to assume many BPs would be desperate for a stake.
