I can’t see, given the share price, trend and combined financials, that $20 million can be raised.

SC may need to take a boat load more shares and less cash to make it work.

I don’t see this merger happening

It seems you haven’t read the whole disclosures. If you read the s1/a then you should look in 4 days up to 2 weeks for the underwriters valuation.
