I see now that you were referring to the "Evergreen" clause in the option awards:
".......the aggregate equity compensation was to be maintained at twenty percent of the issued and outstanding shares of the Company on an evergreen basis."
FWIW, every time I see someone criticize management I think of the last scene in "It's a Wonderful Life" where the little girl says "Teacher says every time a bell rings an angel gets his wings".
Except here, it's "every time management is criticized the board gifts them more shares."
