Clearly someone is not clear about all the additional shares that will likely be issued to acquire 100% of Bellissima along with all the new partnerships.

A 200mil AS will insure the stock stays above a $1 at all times because this company is currently worth a couple hundred million, and with all the new additions we will be going even north of that.

Thanks for showing how poorly one actually comprehends the filing.

Your understanding of RSs is incorrect. An RS does not effect AS. It’s a separate action. Once OS drops 250X, the AS remains 2B. As additional support, Rich even days AS is unaffected in the 8K, text below:

“Reverse Stock Split ” means the filing of an amendment to the Articles of Incorporation of the Company with the State of Nevada for a reverse stock split in which the issued and outstanding shares of Common Stock (but not the authorized shares of Common Stock) shall be combined at a ratio of 1-for-250, which amendment shall be filed with and accepted by the State of Nevada and evidence thereof delivered to the Purchasers.”

As a separate action, Rich has stated AS will drop to 200M in this last PR. Since it was a PR, it’s not guaranteed he will do it any time soon or at all. My opinion is he will do it within a couple months after RS.

They need some room for expansion and liquidy.

No one is gonna “invest” in a stock with 8M Authorized.

These new investors and the Board will control share issuance. Rich doesn’t have that sole power anymore. Plus - It's really about the O/S.

Now if the new authorized shares become 200 million, Rich will have diluted the share structure 2500%, i.e., 8 million × 25 = 200 million A/S.
