I meant to ask a question yesterday about Novartis and the CRL they got - isn't that a material event that should have been reported within 4 days of receipt, not something buried in a 10-K weeks later?

Nope.

For a company as large as NVS, that CRL was not a material event (and even if it was their only drug it could technically be argued that it does not fall under the broader definition of the SEC's 8-K guidelines).
