IMO, an offer will be tendered once a settlement is signed.
It should be fair enough to get almost all the shares, else roll into his private company.
Moreover, UOIP, Inc. has >= 100M shares with accredited investors.
Lastly, probably too much of a pain "paperwork-wise" not to make a fair offer.
