The problem is really that the SEC which has strict rules on issuing stock has this grey are loophole which allowed these guys (and many others) to sneak in, pretend stock is debt and skirt stock registration rules.
If they SEC closed this loophole these characters would not exist.
These companies were never really making loans. They were only loaning money so they could convert and achieve huge profits.
