They are in the process of a reverse merger. Part of the deal is that mPhase must stay current. They just authorized a ton of shares so that Scepter - a private company that trades non-ferrous metal can merge into mPhase.
They will likely close the deal any day now because their fiscal year ended June 30 and they don't have the money or desire to pay for a new K.
