The reason he can’t RS before the offering is that it could lead to a strong possibility that the offering would hammer the price back below $4 and then he would have to RS again.
This is not a trivial amount of stock they are talking about. It is best to let the pps take its lumps and then when the Offering is completed and the dilution has stopped they can target an RS to get to the initial listing requirements.
