Let me tell you what I read here. US Highlands formed a subsidiary "Supreme Sweets Acquisition". That acquired 100% of Supreme Sweets. US Highlands owns 100% of Supreme Sweets Acquistions and Supreme Sweets Acquisitions owns 80% of Supreme Sweets. Mario effectively retains 20% by owning 20% of Supreme Sweets Acquistions. This keeps Mario involved. Also always US Highland to acquire other food related business seperate from Mario. Sophisticated transaction but very well thought out IMHO. I have seen this done before and work out well. GO Everett.
