8-K's do not fulfil the filing requirements under Section 12 of the Exchange Act. Every investor should already know that - that is why companies file 10-Q's and 10-K's. If you don't, the registration of any SEC registrant WILL be suspended and revoked. NEWC was 2 1/2 YEARS delinquent. The suspension and revocation should have been expected and not a surprise to anyone.
The SEC letter was issued, and made public, because it DID warn of such consequences. All the warnings were there. The massive filing delinquency was just the icing on the cake.
And all of this should be obvious to any investor, especially one in penny stocks. None of this requires a degree to understand.
