Brilacidin Development Agreement

(c) “BD Agreement” means a significant licensing arrangement with a pharmaceutical company that will include an initial (“up-front”) payment to the Company in an amount in the double-digits millions of dollars and will arrange for such pharmaceutical company to undertake the continuing development of the Company’s Brilacidin compound in the indication of Oral Mucositis, including the conducting and funding of clinical trials aiming towards the filing of an NDA.

BUSINESS DEVELOPMENT has been a key term for IPIX and Leo over the past 6 months or so. If you read several of the last Q's you will find a bold titled section under Managements Plan of Operation and you will find bolded "BUSINESS DEVELOPMENT ACTIVITIES"

Over the past months I have read emails to other shareholders from the company and Leo dropped "Business Development" in the majority of them. When shareholders asked what is the plan and what is the delay with P and all of the hard questions, his response was mostly "actively" working with the CRO but the majority of our time is Business Development efforts. As I read more and more it came to me after I read this snip from the Q that Business Development basically meant partnerships and moving the business along with collaborations.

Business Development Activities

The Company is engaged in discussions and negotiations regarding the out-licensing of its mid-stage, first-in-class clinical assets to global and/or specialty pharmaceutical companies who have expressed an interest in one or more assets in our pipeline. Successfully securing partnerships would afford the Company access to immediate and potentially recurring sources of non-dilutive capital, including upfront fees, milestone-based payments and tiered royalties.


Recently, we released results from our completed Phase 2 Brilacidin study on Oral Mucositis. The results have attracted inquiries, additional confidential disclosure agreements, and discussions with pharmaceutical companies.

I am not a lawyer, but it seems to me that "BD Agreement" has a very precise meaning relative to this agreement and how BD may be used or defined in other situations is totally irrelevant.

7. CERTAIN DEFINED TERMS.

For purposes of this Agreement, the following terms shall have the following meanings:

"BD Agreement" is a defined term and, thus, when it comes to this agreement the "BD" in "BD Agreement" stands for "BD" and nothing else.

Is the term "BD Agreement" a widely accepted term in the m&a/licensing worlds? It wasn't easy to find on the web and the "BD" abbreviation isn't expanded upon anywhere in the agreement(s). I didn't know what it stood for, but this phrase in the press release probably explains it:
"business development milestones"
So I guess it's a Business Development Agreement.

Most important aspect of OM agreement etc is "worldwide rights" which gives much higher return to ipix...so watch for THAT term in the agreement when it comes out..means much extra green for you as a shareholder !!

perhaps the 'BD' stands for

* securing client meetings
* Obtaining requests for proposals
* Assisting in proposal development and facilitating presentations at client sites
* Securing contract awards based on above efforts and sales targets

not broker dealer, silly, but business development
