On March 16, 2017, the Company entered into a securities purchase agreement (“SPA”) with TLG, Inc, and TRD, Inc. (“Investors”) pursuant to which the Company agreed to sell 25,000,000 restricted shares of the Company’s common stock, in an above market transaction at a purchase price of $0.004 per share for a total of $100,000. As part of the SPA, the Company granted the Investors the option, within the next 60 days, to purchase an additional 25,000,000 of restricted shares of the Company’s common stock at a purchase price of $0.006 per share for a total of $150,000. The shares of Common Stock issued pursuant to the Subscription Agreement have not been registered under the Securities Act of 1933, as amended (the “Securities Act”) and are “restricted securities" as that term is defined by Rule 144 promulgated under the Securities Act. Pursuant to the securities purchase agreement, the Investors agreed not to sell more than three hundred and seventy-five thousand shares per day (subject to adjustment for forward and reverse stock splits that occur after the date hereof) or more than seven million five hundred thousand shares per month (subject to adjustment for forward and reverse stock splits that occur after the date hereof) of the securities purchased pursuant to the SPA.

Last year, MYDX filed a few days after the extra 15 days that the NT-10k had granted them. They were delinquent for a few days and then filed on 4/20 to be current again. That would be Friday this year, so who knows if we see it before then. Btw, sorry to blow up your board, lol.
On January 26, 2018 the company entered into a joint venture with Ganja Gold to form “NewCo”. With the formation of NewCo, the intent is for the Parties to manufacture and distribute a new premium line of physiological based Vape formulations. under Ganja Gold Vape Brand (“GGV”). The GGV Brand will be powered by MYDX data and formulations utilizing the Eco Smart Pen Device under an exclusive license of MYDX Power Formulations. MyDx will have the option to acquire 50% of NewCo.

On April 9, 2018, the Company verbally agreed to enter into a License and Services Agreement with Humanity Holdings Inc. and Humanity Products, Inc. (collectively “Humanity Holdings”). Humanity Holdings currently operates a manufacturing and distribution facility, licensed by the state of California , through which it engages in the sale and distribution of various cannabis related products. The Company granted Humanity Holdings a non-exclusive license to manufacture, sell, and distribute products within California using proprietary product formulations owned or licensed by the Company. The Company agreed to issue Humanity Holdings shares of Common Stock worth $25,000 on the 45th day following the effective date of the agreement. This is in exchange for Humanity Holdings not contracting with a competitor of the Company who provides formulation services, smart vape device hardware and related software applications to its network, product branding or access to reporting from its data set that ties a user’s experience to a chemical profile of the product they are consuming. Humanity Holdings will pay 20% of net sales to the Company as a support services fee and 30% of net sales to the Company as a royalty.

January 2, 2018-Three San Diego businesses have secured temporary state licenses to manufacture cannabis concentrates, thanks to a special grace period granted to them by the City Council one year ago. The businesses, Allegiance Wellness Center Inc., Humanity Products Inc. and Vista Prime Management, LLC, are all licensed for so-called "nonvolatile extraction." This method uses tools such as water, carbon dioxide or glycerin to extract concentrated oil from the cannabis plant.
The city of San Diego is currently processing more than 60 applications for permits to operate "marijuana production facilities" that will cultivate, manufacture and distribute cannabis and its byproducts. These businesses have to go through an extensive review by the city's Development Services Department, and a maximum of 40 permits can be issued.
However a handful of cannabis-related businesses were granted special permission to keep operating in San Diego for two years if they held a business tax certificate prior to Jan. 31, 2017. That was when the City Council voted to "grandfather in" non-retail cannabis businesses that had been operating in a quasi-legal environment before the city had figured out how to regulate the cannabis supply chain.
It looks to me like MYDX may have dropped the Budgenius and Highsmen deals a while back and chose to work with Ganja Gold and Humanity instead. There was no sign of Budgenius or Highsmen being mentioned at all in the recently released 10-K. If that is the case, it was a fantastic move IMO. Anyway, I had already stopped worrying about looking for Wyoming corp candidates.
