Companies that are on the pinks have hard times borrowing money because there unaudited. So they make deals with the devil and get funds from convertible debt deals. The conversions are at a very deep discount but the funds are needed to grow the company.

If someone does convert shares for money .... if I am not mistaken they are restricted for one year

As long as they only convert up to 9.9% of O/S in one tranche the shares are free trading.
