Item 1.01 Entry Into a Material Definitive Agreement.



On April 17, 2017, Bravatek Solutions, Inc. (the “Company”) formally entered into a Reseller Agreement with i3 Integrative Creative Solutions, LLC (“i3 Integrative”), a Virginia-based service-disabled, veteran-owned small business ("SDVOSB"), for a relationship consummated and to be considered effective April 7, 2017, pursuant to which i3 Integrative will promote and solicit commitments in the United States federal government military and civilian markets regarding the Company’s cybersecurity email software and telecom services, in consideration of the payment of commissions to i3 Integrative depending on whether the net revenue resulting from i3 Integrative’s efforts are in connection with the Company’s software products, telecom services, or in connection with SEWP (Solutions for Enterprise-Wide Procurement). In connection with the agreement, i3 Integrative secured approval for the Company to be listed as a supplier on the SEWP contract vehicle, usable by any federal agency, and because of i3 Integrative’s SDVOSB status, the Company can partner with i3 Integrative to obtain business set-aside contracts.



The foregoing description of that agreement and the terms thereof are qualified in their entirety by the full text of such agreement, which is filed as Exhibit 10.1 to, and incorporated by reference in, this report.

SEWP V Contract Info

Contract Number: NNG (varies per contract, see Contract Holders list)

Contract Type: Fixed Price, IDIQ

SEWP is divided into 5 Groups of contracts. Groups A, B(1), B(2), C and D were awarded through a competitive process. Group A was a full and open competition and consists primarily of large and small OEM’s/manufacturers. Groups B, C, and D consists primarily of Value Added Resellers. Group B(1) was a small business set-aside competition for HUBZone businesses. Group B(2) was a small business set-aside for Service Disabled Veteran Owned Small Businesses (SDVOSB). Group C was a small business set-aside for Small Businesses. Group D was a full and open competition and consists of both small and large businesses.

Note that each competed group has the same scope which provides overlap among all contracts and groups.

Per Fair Opportunity as required by FAR Part 16, all Contract Holders within any one individual group must be considered (the SEWP on-line Quote Request Tool automatically provide the Fair Opportunity groupings when selecting Contract Holders). It is recommended to post requirements to multiple groups for maximum competition.

Contract Effective Dates: All SEWP V Contracts have an effective ordering period of May 1, 2015 through April 30, 2025. The base contracts were awarded for 5 years with one 5 year option for a total of 10 years. Each contract has a $20 Billion contract limit.
