I'm not a lawyer. Does such a statement legally have to be in a merger agreement document? The same question can be asked as to:why is it stated that NSM can waive the $4 min. requirement? As a lay person I find this very confusing.If it's required, it's required-period.

Also note that if there is a windfall of assets or business in the near future to wmih, the NSM shareholder is purposely limited to the number of shares of wmih they get and as a result do not get rewarded as much if they were not so limited.

mordicai YES!!!!!!!! and maybe to enhance the NSM shareholders into the 12.7+ WMIH shs otherwise gimmie the 18 per in cash and bye,bye or seya later on for a few by ins. Sooooooooooo what else have we got on the menu and soooooooooooon IMHO.
