4Justice - I respectfully disagree with your statement that:

Corporations are not automatically dissolved by a Secretary of State unless they fail to timely file certain required filings, i.e. corporate minutes, list of current officers/directors, or unless they fail to pay their yearly reinstatement fees to the SOS, if required, or under certain other conditions.
If a corporation meets the requirements of the SOS on a yearly basis, they are not dissolved unless they opt to voluntarily dissolve for certain reasons, such as the company's choice to re-incorporate in another state for some reason.
Dissolution means that the corporation is no longer considered in good standing in the state in which is was dissolved unless it cures the deficiencies for which it was dissolved, and then it is reinstated with good standing.
