You "can" have counsel review at 10K, however, it is not required. There is no "legal opinion " required as it is not a registration of securities. Been doing this for 27 years. Spouse, formerly Director of SEC Reporting for NYSE corp as well. I know the difference between a 10-K and an S-1, S-3, S-8, etc.
