I think you got it backwards, the 4.99% clause is to ensure the note holder that gets the shares cannot hold more then 4.99% of the total so the note holder has to sell and dump it into the markets. That's why the high volume in shares traded thru Oct 24 as the note holder has to sell them and cannot hold more then 4.99%

the anti dilution clause to prevent the note holder from taking over the company


whether one of the CEO related parties directly or indirectly were buying some of these shares in the last weeks no one knows

the note holder made a lot of money off the conversion when it completed Monday so he probably owns zero shares and took the money to the bank

its now a free market play on the stock - if the buyers are holding out for long term big gains the trend in price momentum will incrementally go up as there are no more new shares to deter a PPS gain like the last 2 weeks - that is the theory going forwards - what will happen depends on the emotions of the traders now

The only way that ex-holder will own any common at this point is if he was buying in the market. The note holder most likely diluted all shares from that transaction at this time. Munhoi explained in great details. Thanks to Munhoi.
