Item 12 states Spectrum King LED (or such other agreed upon name) will be the name of the new public company. The interim name is "PUBCO" as they proceed through their merge process.

Common shares will be issued according to the Cap Table. The Cap Table totals (not individual subtotals) are clearly noted as pre and post reverse totals.

Reread the definitions in the MOU, the post merger entity is "PUBCO" .. if the chart was labeled "PUBCO Cap Chart" then I would agree with you, but it's called "Spectrum Cap Chart".. therefore as per the definitions in the mou, the cap chart is in reference to the private company "Spectrum"
