Again, the AS is 100 million with intention to raise it to 500 million post merger. It's explained in the mou. The chart describes shares of the private company which will rs prior to merging..

In a reverse stock split, a private company tries to minimize the number of shares it has outstanding so it can get a higher price per share when it goes public. ... An IPO, in its most basic form, is simply an offer of shares to the public that enables a company to raise cash.

Nice to see someone else reads like I do...lol :)

Hoping for clarification in the 10-K.

The chart shows pre reverse total shares and then post reverse shares and it seems like they are planning a 25/1 RS after the merger. I hope this is not the case, but that's the way it looks according to the chart they posted. Whether it makes sense or not is to be determined when/if this all shakes out.

That table is the Spectrum Cap Chart. The sole purpose of a cap chart is to show who owns what percent stake in the company. The company currently has billions of shares allotted to each of its owners. Obviously they don't want to move billions of shares into BANJ, so they are reverse splitting their shares 25:1. After the 'reverse', there are 166 million total shares allotted to each of their owners. Current BANJ SS only has a max of 100 million shares with a large percent of those already into the hands of investors. In order to make room for the 166 million shares that Spectrum is going to bring in the merger, they are raising the AS to 500 million with Spectrum being the majority shareholder and therefore being in complete control of BANJ. Having control allows them to merg their financials and change the name/ticker effectively turning BANJ into Spectrum King LED.
