The MOU is a binding agreement whether a Definitive Agreement is entered into or not. Upon satisfactory completion of their respective due diligence investigations the Parties will collaboratively act expeditiously to adopt and execute a Plan of Merger of the two entities.



As far as the light you bought, I've had success with similar "cheaper" lights. But I wouldn't call it a competitor because Spectrum King is targeting this:

The majority of LED grow lights made in China use in-house assembled LED chips with standard, off-the-shelf diodes, such as Bridgelux and Epistar. Taking these diodes and making an LED is risky for the end consumer buying the product. These companies have no binning nor do they have LM79 or LM80 data on the LED chips. They are virtually unverified and inconsistent products. The process of making LEDs requires a highly sterile environment with no humidity. We can tell you from previous visits to factories in China (we tried them too many years ago) that the majority of them have sub-standard conditions—no clean rooms, hot humid environments, and no proper packaging and handling of the LEDs. Every LED batch off the production line comes out with slightly different lumen output. On all properly monitored LED assembly plants such as Cree there is a minimum and maximum range per diode series that usually has a 10% maximum allowed fluctuation. This is called binning. When your fixture features many LEDs, that 10% variance in the LEDs can equal a lot of your overall intensity. This is why we make our lights in the USA with high quality verified components.

LMAO, and yesterday it was the "their lights are too expensive". I don't think this needs the Ihub clan to keep it from drifting. As more news and filings hit this will be bigger than Ihub. Sitting with a $870,000 market cap is a joke but allowing the smart ones time to add.

The competitor's light is cheaper for a reason, I bet you'l see after a few months of using it. Cree isn't in bed with Spectrum for nothing.

Big time move coming.

Just chiming in here as I'm learning about this stock.. Have those LEDs myself actually and I have been around many of them . I would like to see a 700 watt for 319 dollars. You are probably being sold LED capable watts and not actually what it's drawing , also watts is not even a good baseline to compare an LED lamp as watts can be fluctuated based on efficiency. You probably bought one energy wasting LED that it's efficiency is really low and probably not being used to it's full potential. China doesn t even sell 700 watt for that cheap. Not a really 700 watt at least. What I can tell you about this LED is over many that I have tried, spectrum king was the best and I have been running this light for over a year now . Good luck to everyone investing , going to do so myself.
And if you show me a good 700 watt for that price we should go into business together lol.GL
