Again read the 13D. The subscription agreement states what he can and cannot do. He is managing the company as a private investor. Not as a CEO. There are a lot of privileges taken away right there alone.

Another part of the subscription agreement states that all further financing of the company, after execution of the agreement, is his responsibility and his alone. Hence the reason they were able to go dark with approval from the SEC through the filling.
