Imo it is just assurance for the CEO that there won't be any chance of a takeover. CEO invested $8.5 million so far and by increasing AS to 10b he is protecting his investment. Ofcourse, I'm assuming he doesn't convert, but I doubt he's trying to get rich quick if he had $8 mill to fund his project
