Without the S-1, they can't "sell into the market". They could do another S-1 - that would take 6-7 weeks based on the last one. Of course, the SEC might take a lot longer (like forever) with an additional review. Seriously, after today's 10-Q, where the company now calls Novus Group a "related party", the company probably doesn't want to go through the S-1 process again.
