Why is it a negative term? WC is sticking to what they said they wanted to do in their letter. Which was to create a new company headed by Gallant. Who wouldn't want a piece of a company with the capital backing of a very large hedge fund. I see value.
Winding down refers to "the company." If you look to the definitions set forth in the contract, "the company" is soupman. They just sold most of their assets...they can do nothing but wind down. Gallant brands, "the purchaser," is who you should be concerned about.
