The rs is to raise the pps...they are restricted as the 47M new shares will be going to the existing shareholders of Intiva BioPharma...which is Friedman and Greenberg and possibly some others...they are all likely insiders and some will have over 10% of the OS, I imagine...making them 'control persons' (insiders)...their shares are restricted...
