Definitely plenty of time for them to list to NASDAQ especially if they pursue an APO as the tweet mentions.

I know there can be delays so I won't be disappointed if the PR does not come out today.

An APO is a quick transaction compared to an initial public offering (IPO). At the closing of an APO, the public shell and private company sign merger documents to complete the reverse merger; file a 8K with the Securities and Exchange Commission (SEC), which is the required public disclosure of transaction; file a registration statement with the SEC to register the PIPE shares; release PIPE funds from escrow; and issue a press release announcing the completion of the transaction. The company’s stock now begins trading on the OTCBB ([OTC pink] which it is now with TRKG), reflecting the new valuation.

A company can close an APO in as little as 30 – 45 days. After the close of an APO, the company is funded and has exactly the same SEC disclosure requirements as an IPO. Approximately 3 to 4 months after the completion of the APO, the company’s registration statement should clear comments and “go effective” with the SEC. When this is accomplished the company can then submit its application to obtain a listing on NASDAQ, AMEX, or NYSE. Listing approval for the exchanges typically takes about one month. At this point analyst research coverage begins and the company focuses on IR efforts, non-deal roadshow, conferences etc.

At the conclusion of a successful APO transaction, a company has received equity funding and has a base of institutional investors. The company has the sponsorship of an investment bank and is exchange listed with analyst coverage. There is now a true market value for the company and the company is positioned to raise additional capital in PIPE transactions.



None of us claim to have all the answers. I have learned tons about reverse mergers and ways of going public the last couple months. I am still researching but from what I understand we are golden if they go through with an APO.

A couple more comments on your response.

Shares: Originally their website translation says 2 billion dollars. I called the company and the company said it was meant to be 2 billion AS shares. They updated the website immediately. The 2 billion shares of AS is the same as the number in NV SOS registration.

According to Mr. Ding, all the shares of his business partners are locked up for eighteen months. So if I'm not mistaken, we do not expect OS and float surge after the merger, and I believe that this is both a short term RM play and long term investment. I also believe that eighteen months give them enough time to be uplisted to NASDAQ.



Good to hear the company won't be diluting. In some cases, in order to effect the merger, Finra may require a stock split to get the share structure where it needs to be. If a split is required, it would most likely be a forward split (FS), since TRKG has a relatively small OS (about 150 million). If a FS is required for the merger process, I would expect a 2 or 3 for 1 FS. All IMO.


There was a wall street bank approached them to get them onto NASDAQ, but the company declined and took OTC approach to build the business and shareholder value first.



Going straight with an IPO was probably prohibitively costly for the company.

INITIAL PUBLIC OFFERING

Taking your company public by IPO will require a large investment bank to underwrite your offering. The investment bank is basically purchasing your private shares today with plans to sell them at a profit to the public. Although you may receive funding sooner than later, the entire process is expensive and very few companies meet the stringent criteria.
