It could be sold anyway they want it to but it doesn't really change the share structure. ICNB paid for bellissima with preferred shares that haven't been converted into common shares yet. If they aren't working towards inevitablely selling the brand than it's kinda curious why they haven't converted thoes preferred shares already.
ICNB only owns half of Bellissima business and none of the brand name (pretty sure, but not positive on brand). So Bellissima could be sold, but shareholders would split half the proceeds as part owners. Their vote on any such transaction is effectively nullified by the Pref D shares, but they still share in half the proceeds.
