how does a non reporting company file an 8k?

A very good question.

They can't, as an 8-K is strictly limited to current registrants under either the Securities Act or the Exchange Act. DOLV filed a Form 15 and is not a current registrant.

However, from reading the content of the 8-K, it is really an 8-K/A as it amends information previously filed in both an 8-K AND 8-K/A that were filed prior to the termination of reporting obligations under the Form 15.

https://www.sec.gov/Archives/edgar/data/1436568/000126246313000594/dolat8k5312013.htm

The new filing was incorrectly filed as an 8-K instead of an 8-K/A.

But they fact they did file something correcting information contained in a 4-year old regulatory filing only has 1 explanation - regulators are asking questions of the Company and probing their veracity. Otherwise, no filing would have been needed, nor given.
