Ah, but in accordance with court documents, Preferred shares were never issued, hense the acquisition/merger never occurring:

You keep saying "TALK will own none of UMS", but if the above link is correct (IAW Court Documents) then there is no change in TALK's ownership, what-so-ever.

The mere fact that TALK is in this BK with them, without them ever acquiring/merging shows a relationship between the two.

Also, this question was asked but not answered:

Was it a Merger, or Aquisition?
