By making the acquisition in the spun off company, the actual purchase will come from shares in the new company which will have a value. If the purchase was made by AMFE then they would either have to use actual cash or issue shares for the purchase.
By doing it in a new entity they are essentially buying it for free (since the value is yet to be created).
