Of course the TA knew that stock had been issued to Barton. Who do you think issues the stock? I don't think you understand the definition of unregistered. The stock issued to Barton and his cronies was unregistered because it was issued pursuant to an exemption to registration rather than pursuant to a registration statement. This exemption was invalid, hence Barton and company's little run in with the SEC. The filings showed all of the convertible debt so any shareholder could have figured out that massive dilution was going to occur 12 months after these notes.
