I don't think so. A LOI (Letter of Intent) is not an agreement, which is why it is the stock scammer's favorite 3 words. You can tout the deal forever and never actually close the deal.

Not only is there absolutely no evidence that COWI ever closed the deal with Open Road, there is substantial evidence they did not. The garnishment orders in lawsuits COWI lost are still open. If they had actually merged with Open Road, the judgement holder would have seized a bunch of Open Road assets to satisfy what they are owed.
