burgin MANY MANY Retails did vote. You misread a little bit. I said that 99% of Joe Retail holds their shares in Street Name. As in shares are held by Brokers. E-Tard and the rest of them. Most of those shares were probably voted. Those who didn't vote either electronically or over the phone accounted for the 11M non-voted shares. As to why they didn't vote? Many people work real jobs and probably not there to answer the phone calls? Maybe Kingsford didn't leave a call back message? Maybe they did and shareholders blew it off?

The only things we know for sure.
#1 11 million shares were held by brokerages and the owners who didn't vote.

#2 Votes Against 2,218,830 Preferred shares Notice votes against were considerably less on all other issues. Strange 93K against the acconting firm BDO who would vote against them? people who voted NO against ALL Of the proposals I guess.

#3 Votes against the Shareholders rights plan 1,177,192 Who in hell would vote NO on that issue? Shorts who accidentally held long shares on the magical date of 17 Feb???? beats me who would say no to this one.

#4 YES votes on BDO of 32,456,763 includes a YES from the 11M JoeRetails who didn't bother to vote. Etard Scottrade etc legally voted their shares YES.

#5 grand total of votes.
Votes For 32,456,763
Votes Against 93,762
Abstentions 192,855

Abstentions in some cases some of the directors employees aren't allowed I think to vote on some items. Like their own paychecks etc.

#6 total outstanding shares 41M so in the above total that did vote on something we had about another 9M shares that just plain didn't vote on anything. Those had to be Tutes or institutions who held their own shares .. in other words not through Etrade etc. Thats a big question as to why those didn't vote.

#7 Shareholders Rights barely passed Votes For 19,895,990 was apparently over 50% of the Eligible to vote votes. Where the Preferred Shares issue Votes For 18,659,912 was just barely under 50% of those eligible to vote. It lost be something less than 1.1M votes.

Better Luck next time around perhaps. Or maybe it won't make any difference by the next time they have a vote?

Apparantly many investors in Europe didn't have the ability to vote because of brokers unwilling to co-operate.

I unfortunately did not receive any alternatives and it appears that for the time-being, the European institutions will have to reach out to their North American custodians to obtain the voting control numbers.
