I can't say I've poured over the filings completely, but chances are if a private placement then it would have been for services or some thing or converted debt. The money raised seems to have come from debt subsequently converted. Relatively few appear to have paid money for stock from treasury.

I'm still very unclear on what it is that Max Sound owns exactly. Perhaps the 10k will provide some clues.
