... Looking over the filings, the short version is that the corporation that now is Max Sound was incorporated in 2005, registered Form 10, and then subsequently acquired as a shell. All shares were bought when acquired. I don't think it went public by IPO, so there is no pre-IPO period. This someone could not have meant that he acquired some stock by private placement prior to the registration, as far as I can see, as 100% of the shares were acquired post registration Form 10.
It looks like the majority of the stock created thereafter was created either as issue for payment, or as issue on conversion of debt.
